Terms of Service
Please read these Terms of Service carefully before using the services offered by Saenz Safety Consulting LLC ("SSC," "we," "us," or "our"). By engaging our services or accessing our website, you agree to be bound by these terms.
1. Services
Saenz Safety Consulting LLC provides construction safety consulting services including, but not limited to, jobsite safety inspections, OSHA training, Job Hazard Analyses (JHAs), Job Safety Analyses (JSAs), site-specific safety plans, compliance documentation, and toolbox talks. The scope of services for each engagement will be defined in a written agreement or proposal between SSC and the client.
2. Client Responsibilities
Clients are responsible for providing accurate and complete information about their jobsite conditions, project scope, workforce, and any known hazards. Clients must ensure that SSC personnel have safe and reasonable access to all areas necessary to perform the agreed services. Withholding material information may affect the accuracy of our deliverables and limits SSC's liability accordingly.
3. Payment Terms
Payment terms will be outlined in each individual service agreement or invoice. Unless otherwise agreed in writing, invoices are due within 30 days of the invoice date. SSC reserves the right to suspend services for accounts that are past due. Any disputes regarding invoices must be raised in writing within 10 business days of receipt.
4. Limitation of Liability
SSC's services are advisory in nature. While we strive to provide accurate, current, and practical safety guidance, compliance with OSHA regulations and overall jobsite safety remains the sole responsibility of the client and their workforce. SSC shall not be liable for any injuries, incidents, fines, penalties, or damages arising from a client's failure to implement recommended corrective actions or from conditions outside our control. In no event shall SSC's total liability exceed the fees paid by the client for the specific services giving rise to the claim.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. SSC will not share client-specific jobsite details, inspection findings, or business information with third parties without written consent, except as required by law or regulatory authority.
6. Intellectual Property
All templates, training materials, safety plans, and other deliverables created by SSC remain the intellectual property of Saenz Safety Consulting LLC unless explicitly transferred in writing. Clients receive a non-exclusive license to use deliverables for their own internal business purposes. Clients may not resell, redistribute, or sublicense SSC materials without prior written approval.
7. Termination
Either party may terminate a service engagement with 14 days written notice. Clients remain responsible for payment of all services rendered up to the termination date. SSC reserves the right to terminate immediately if a client engages in conduct that creates a safety risk to our personnel or that violates applicable law.
8. Governing Law
These Terms of Service are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any disputes arising from these terms or our services shall be resolved in the courts of Maryland.
9. Changes to These Terms
SSC reserves the right to update these Terms of Service at any time. Updates will be posted on our website with a revised effective date. Continued use of our services following any update constitutes acceptance of the revised terms.
